Terms of Service.
These Terms of Service ("Terms") form a binding agreement between Webcite Technology Systems Ltd, a company registered in England and Wales (Company No. 16580236) with its registered office at Workshed, 7 Carriage Works, London Street, Swindon, SN1 5FB ("Webcite", "we", "us"), and the entity or person agreeing to these Terms ("Customer", "you").
By creating an account, accessing, or using Client Engine, you confirm that you have read and accept these Terms. If you are entering into these Terms on behalf of an organisation, you confirm that you are authorised to bind that organisation.
1 · The service
Client Engine is a B2B GTM intelligence platform that helps Customers define their Ideal Customer Profile, identify and enrich prospects, detect buying signals, and run outbound campaigns. The service is delivered as software-as-a-service at ce.webcite.ai (the "Service").
We may also provide managed services tied to Client Engine under a separate written statement of work. Those engagements are governed by the SOW and these Terms in combination.
2 · Accounts
You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account and for keeping your authentication credentials secure. You must notify us at info@webcite.ai without delay if you suspect unauthorised access.
The Service is for business use only. You must be at least 18 years old to register an account.
3 · Subscription plans and billing
The Service is provided on a recurring subscription basis. Plan tiers, prices, included credits, and feature limits are listed at clientengine.webcite.ai/pricing and are incorporated into these Terms by reference. Credits are described in Section 4.
Billing. Subscriptions are billed monthly or annually in advance via Stripe. Fees are non-refundable except where required by law or expressly stated in these Terms.
Plan changes. You can upgrade at any time, with the price difference prorated. Downgrades take effect at the next billing cycle.
Taxes. Prices exclude VAT and any other applicable taxes, which will be added where required.
Failed payments. If a payment fails, we will retry. If the issue is not resolved within 14 days, we may suspend or downgrade your account.
4 · Credits
Certain features of the Service consume credits. A credit is a unit of consumption, not a currency. Credits have no cash value and are not refundable or exchangeable.
Credit cost per action. The current per-action credit costs are:

Included credits. Each plan includes a monthly credit allocation. Allocations are listed on the pricing page and form part of these Terms.
Reset. Included monthly credits reset on each billing renewal date. Unused monthly credits do not roll over.
Top-ups. You may purchase top-up credits at the published rate. Top-up credits sit in a separate balance and do not expire while your account remains active. Bulk top-up purchases may carry a bonus credit percentage as published on the pricing page.
Order of consumption. When you take a credit-consuming action, monthly included credits are consumed first; top-up credits are consumed only once the monthly balance reaches zero.
Out of credits. If your balance is insufficient for an action, the action will be blocked until you upgrade your plan, purchase top-ups, or wait for your next monthly reset.
Changes to credit costs. We may revise the credit cost of any action on at least 14 days' notice. Notice will be provided by email and through the Service. If a revision materially increases the credit cost of actions you regularly use, you may terminate the affected portion of the Service for convenience before the change takes effect.
No abuse. Attempting to circumvent credit limits, including by automating account creation, sharing accounts across organisations, or exploiting bugs, is a breach of these Terms and may result in suspension or termination.
5 · Acceptable use
You must not, and must not allow any user to:
- Use the Service to send spam, unsolicited bulk email, or any communication that breaches the UK Privacy and Electronic Communications Regulations (PECR), the GDPR, the CAN-SPAM Act, or equivalent law in any jurisdiction
- Upload prospect data you do not have a lawful basis to process
- Send messages that are false, deceptive, defamatory, harassing, discriminatory, threatening, or unlawful
- Impersonate any person or organisation
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or white-label the Service without our prior written consent
- Use the Service to build a competing product
- Circumvent rate limits, credit limits, or security controls
- Upload malware, conduct security testing without prior written consent, or interfere with the operation of the Service
- Use the Service in any sanctioned jurisdiction or in breach of UK or international export controls
We may suspend or terminate your account without notice for serious or repeated breaches of this section.
6 · Customer data
You retain all rights in the data you upload to or generate within the Service ("Customer Data"). You grant us a limited, non-exclusive licence to host, process, and transmit Customer Data solely as needed to operate and improve the Service, comply with law, and provide support.
You are solely responsible for the legality of Customer Data, including ensuring you have a lawful basis under UK GDPR (or equivalent law) for processing prospect personal data through the Service. Where the Service processes personal data on your behalf, our Data Processing Agreement (DPA) applies and is incorporated into these Terms by reference.
7 · AI-generated content
Parts of the Service generate content using third-party large language models. AI output may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for reviewing AI-generated content before sending it externally or relying on it for a business decision.
We do not warrant that AI-generated content is fit for any particular purpose. Subject to our suppliers' terms, you may use AI output created via the Service for your business purposes, including in outbound communications you send.
8 · Service levels and availability
We aim to keep the Service available 24 hours a day. We do not guarantee uninterrupted availability. Planned maintenance will, where reasonably possible, be scheduled outside UK business hours and announced in advance.
We are not liable for downtime caused by sub-processors, internet outages, force majeure events, or your own infrastructure or third-party tools.
9 · Support
Email support is available at info@webcite.ai. Response targets vary by plan tier and are listed on the pricing page. Support is provided in English during UK business hours (9am to 5pm UK time, Monday to Friday, excluding English public holidays).
10 · Intellectual property
We retain all rights, title, and interest in the Service, including all software, designs, documentation, trademarks, and know-how. Nothing in these Terms transfers ownership of any of our intellectual property to you.
You may submit feedback or suggestions about the Service. You grant us a perpetual, worldwide, royalty-free licence to use that feedback without restriction or compensation.
11 · Confidentiality
Each party agrees to keep confidential information of the other party confidential and to use it only for the purposes of these Terms. This obligation survives termination for three years.
12 · Term and termination
These Terms apply for as long as your account is active. Either party may terminate:
- For convenience, by closing the account at the end of the current billing period
- For material breach, with 14 days' written notice if the breach is not remedied
- Immediately, if the other party becomes insolvent or ceases to do business
On termination, your access to the Service will end. We will retain Customer Data for up to 30 days post-termination to allow recovery, then permanently delete it (except where retention is required by law).
13 · Warranties and disclaimers
We will provide the Service with reasonable care and skill.
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of AI-generated content, and non-infringement.
14 · Limitation of liability
Nothing in these Terms limits liability that cannot be limited at law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to that, our total aggregate liability arising out of or relating to these Terms or the Service is limited to the fees paid by you to us in the twelve months immediately preceding the event giving rise to the claim.
We are not liable for indirect, consequential, or special losses, loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, or loss or corruption of data.
15 · Indemnity
You will indemnify us against all claims, losses, damages, and costs (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your unlawful or non-compliant use of the Service
- Customer Data you upload, generate, or transmit through the Service
- Outbound communications you send via the Service
16 · Changes to the Service and to these Terms
We may modify the Service, including features, limits, and pricing, on 14 days' notice. Material changes adverse to you give you the right to terminate before the change takes effect.
We may update these Terms from time to time. The effective date at the top will change. Continued use of the Service after the effective date constitutes acceptance.
17 · Governing law and disputes
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any competent court.
18 · General
These Terms (together with the Privacy Policy, DPA, and any applicable SOW) form the entire agreement between you and us. If any provision is held unenforceable, the remainder will continue in force. No waiver is effective unless in writing. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
